PROJECT STRATEGY

The Blo­cHome Secu­ri­ty Token Offer­ing was first launched in Decem­ber of 2021. USE OF FUNDS

The raised funds will be used to fill up the remain­ing equi­ty and repay the debt that was tak­en to acquire the Real Estate Asset — the Clap­ton Res­i­dence, which will allow Blo­cHome SV SA to decrease its finan­cial lia­bil­i­ties and increase the ROI for investors by dimin­ish­ing the time to dis­trib­ute div­i­dends. The year­ly expens­es relat­ed to the build­ing man­age­ment will be dis­tract­ed from the rental income to deter­mine the amount of div­i­dends to be distributed.

 

The pro­ceeds from the issuance of the secu­ri­ties will also be uti­lized in sev­er­al key areas. First, a por­tion of the funds will be allo­cat­ed to cre­ate a reserve for rea­son­ably expect­ed fees and expens­es. This ensures that the issuer is pre­pared for any antic­i­pat­ed costs. Sec­ond, the cap­i­tal will be invest­ed direct­ly or indi­rect­ly into the under­ly­ing real estate assets. Direc­tor of the Board

Marc Lenert was a mem­ber of the Exec­u­tive Man­age­ment Board of a lead­ing Lux­em­bourg bank for more than 15 years. Fur­ther­more he served as a mem­ber of the Board of Direc­tors with major play­ers in the finan­cial sec­tor in Lux­em­bourg. Through­out his long career in finance, he has gath­ered exten­sive expe­ri­ences in mul­ti­ple bank­ing depart­ments. These expe­ri­ences have shaped his deci­sion-mak­ing which allowed him to be a top lev­el exec­u­tive in the bank­ing field.

Marc Hahn has over 30 years of expe­ri­ence in the con­struc­tion and real etate sec­tor. He is a learned sta­t­ic engi­neer, cru­cial exper­tise which has estab­lished him as an expert in build­ings and construction.

Danielle Dall’Armellina has over 25 years of expe­ri­ence in the tax­a­tion field. She has gath­ered inten­sive expe­ri­ence for 22 years at Deloitte. Her areas of exper­tise were direct tax advi­so­ry ser­vices, direct tax com­pli­ance work and per­form­ing tax audits to bank­ing groups and oth­er pro­fes­sion­als from the finan­cial sec­tor. There­after she joined BDO to become a direc­tor of the tax com­pli­ance group in which they were pro­vid­ing tax com­pli­ance ser­vices such as tax returns, tax due dili­gence, tax pro­vi­sions cal­cu­la­tion, with­hold­ing tax returns for all kind of nation­al and inter­na­tion­al clients.

Hugo Vau­ti­er worked in the bank­ing sec­tor. where he became Senior Cor­po­rate Team Leader with­in the Wealth Man­age­ment depart­ment of a Top-Tier pri­vate bank in Lux­em­bourg. In 2012, Hugo joined the Lux­em­bourg office of a Flem­ish finan­cial group. He was then appoint­ed as con­duct­ing offi­cer in charge of Finance and Oper­a­tions, duly autho­rized by the CSSF, for the group’s Wealth Man­age­ment enti­ty reg­is­tered as a PSF in Lux­em­bourg. He is in charge of man­ag­ing the Cen­tral Admin­is­tra­tion and Trans­fer Agency teams and dri­ving the growth of the Fund Admin­is­tra­tion depart­ment. Hugo also serves as exec­u­tive and non-exec­u­tive direc­tor with­in the board of Lux­em­bourg-based Gen­er­al Part­ners, as well as com­mer­cial, secu­ri­ti­sa­tion and hold­ing companies.

UNDERLYING ASSET

The Issuer will use the pro­ceeds of the issuance of Shares to acquire up to 100% of the shares in the share cap­i­tal of the com­pa­ny Primus Lux­em­bourg S.à r.l., which is the own­er of the under­ly­ing asset, the Clap­ton Res­i­dence.

 

The Clap­ton Res­i­dence con­sists of the build­ing Clap­ton in the com­mune of Lux­em­bourg with the address 73, Ces­sange street, L‑1320 Lux­em­bourg. It is com­posed of eight apartments.

The Loca­tion:

Lux­em­bourg-Ces­sange is a diverse and mul­ti­cul­tur­al res­i­den­tial neigh­bor­hood offer­ing numer­ous ameni­ties, includ­ing leisure facil­i­ties, schools, shops, and green spaces. Locat­ed just five min­utes from Lux­em­bourg City cen­ter, it bor­ders the pop­u­lar dis­tricts of Gasperich, Cloche d’Or, Merl, and Hol­lerich, and pro­vides easy access to major free­ways to Bel­gium, France, and Germany.

The area boasts major high­way con­ve­nience, 23 bus stops, a vel’OH! sta­tion, two car parks, and 13 spaces for peo­ple with reduced mobil­i­ty. Leisure options include Ces­sange park, eight play­grounds, soc­cer and beach vol­ley­ball fields, a cul­tur­al cen­ter, the Boy Konen Sta­di­um and Bike Park, a sports hall, and two fit­ness centers.

Lux­em­bourg Res­i­den­tial Mar­ket Overview:

The res­i­den­tial mar­ket in Lux­em­bourg is dynam­ic and grow­ing, with the country’s attrac­tive­ness and pro­ject­ed pop­u­la­tion growth expect­ed to out­per­form most oth­er Euro­pean coun­tries. Sin­gle-fam­i­ly homes are being replaced by mul­ti­fam­i­ly prop­er­ties due to a lack of build­able land, mak­ing apart­ments the most sought-after asset.

In Lux­em­bourg, 69% of house­holds own their homes, with own­er­ship rates increas­ing steadi­ly from age 30 onwards. Sale prices, par­tic­u­lar­ly in the cap­i­tal, are ris­ing rapidly.

Rents are also ris­ing due to high demand and the lim­it­ed sup­ply of rental prop­er­ties with desir­able char­ac­ter­is­tics such as the under­ly­ing asset quality.

EY Lux­em­bourg val­ued the build­ing at EUR 8,450,000 in 2022. By 2043, the Clap­ton res­i­dence is expect­ed to reach EUR 17,802,876. Giv­en the high demand and lim­it­ed sup­ply in the Lux­em­bour­gish hous­ing mar­ket, a high­er val­ue increase is pos­si­ble. The pop­u­la­tion is pro­ject­ed to grow from 650,000 to 1,000,000 by 2050, main­tain­ing pres­sure on the hous­ing market.

 

The annu­al increase in rental rev­enue and decrease in finan­cial lia­bil­i­ties will con­sis­tent­ly boost the oper­at­ing result, rais­ing poten­tial div­i­dend dis­tri­b­u­tions to EUR 340,000 for the max­i­mum cir­cu­lat­ing sup­ply of 7,990,000 shares. The ROI is expect­ed to rise from 2.67% in 2024 to 11.79% in 2043.

 

The share val­ue is antic­i­pat­ed to increase by 110.6% by 2043 in a con­ser­v­a­tive sce­nario, exclud­ing div­i­dend distributions.

INVESTMENT TERMS

Blo­cHome Tokens (BHT) are ERC20 tokens issued on the Poly­gon net­work. These tokens rep­re­sent shares in the real estate port­fo­lio and are reg­is­tered in the issuer’s pri­ma­ry reg­is­ter in Lux­em­bourg. Trans­fers of tokens with­in the Dig­i­tal Ledger Tech­nol­o­gy (DLT) trig­ger the trans­fer of the under­ly­ing secu­ri­ty rep­re­sent­ed by the tokens. How­ev­er, these trans­fers are not valid and enforce­able until they are reg­is­tered in the shares reg­is­ter of the issuer.

 

The secu­ri­ties are issued under Lux­em­bourg law and are sub­ject to the Secu­ri­ti­sa­tion Law of 22 March 2004. The offer­ing is exempt from the oblig­a­tion to pro­duce a prospec­tus under the Lux­em­bourg law of 16 July 2019, pro­vid­ed the aggre­gate prin­ci­pal amount of secu­ri­ties does not exceed EUR 8,000,000 cal­cu­lat­ed over 12 months.

 

The term of the invest­ment is linked to the under­ly­ing real estate assets and the oper­a­tional lifes­pan of Blo­cHome SV SA. The secu­ri­ties are not con­vert­ible to any oth­er finan­cial instru­ments but may be repur­chased or redeemed under spe­cif­ic con­di­tions as per Lux­em­bourg law. The secu­ri­ties do not have a fixed matu­ri­ty date. Redemp­tion or repur­chase of secu­ri­ties may occur under the terms and con­di­tions set forth by the issuer, typ­i­cal­ly involv­ing con­di­tions where the issuer’s net assets are not reduced below the sub­scribed cap­i­tal and legal­ly required reserves.

All prospec­tive investors must pro­vide BMCP GmbH & Blo­cHome SV SA with KYC infor­ma­tion in order for the issuer to per­form the required KYC and AML analy­ses and to oth­er­wise con­firm that the investor meets oth­er suit­abil­i­ty require­ments that the issuer may require from time to time.
